1. Introduction

These Terms of Business ("Terms") govern your use of services provided by 12n Solutions LLC ("we," "our," or "us"). By engaging our services, you agree to these Terms in full. If you disagree with these Terms or any part of them, you must not use our services.

2. Services

We provide technology consulting services as described on our website and in any statement of work or agreement between us and you. We reserve the right to modify, suspend or discontinue any part of our services at any time.

3. Fees and Payment

Our fees will be as agreed in writing between us before we commence providing services. Unless otherwise agreed, payment terms are 30 days from the date of invoice. We reserve the right to charge interest on overdue amounts.

4. Intellectual Property

Unless otherwise agreed in writing, we retain all intellectual property rights in materials we create while providing services to you. Upon full payment of our fees, we grant you a non-exclusive license to use such materials for your internal business purposes.

5. Confidentiality

Each party agrees to keep confidential all information received from the other party that is marked or reasonably understood to be confidential. This obligation continues for 3 years after the termination of our services.

6. Limitation of Liability

Our total liability to you for any claim arising out of or in connection with our services shall not exceed the fees paid by you for the services giving rise to the claim. We shall not be liable for any indirect, consequential, or special damages.

7. Termination

Either party may terminate our services with 30 days' written notice. We may terminate immediately if you breach these Terms. Upon termination, you shall pay all outstanding fees for services provided up to the date of termination.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of California.

9. Changes to Terms

We may revise these Terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you.
